Terms of Service | ConversionOS

These Terms of Service ("Terms") govern your access to and use of the ConversionOS platform, websites, and related services (the "Service") provided by Lonely Dev Inc. ("ConversionOS," "we," "us," or "our"). By signing up, accessing, or using the Service, you agree to these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization.

1. Eligibility and Account

You must be at least 18 years old and able to form a binding contract. You are responsible for the accuracy of the information you provide and for keeping your account credentials secure. You are responsible for all activity under your account. You must notify us promptly of any unauthorized use.

2. Acceptable Use

You agree not to:

Use the Service for any illegal purpose or in violation of any applicable laws.
Infringe or encourage infringement of intellectual property or other rights of others.
Transmit malware, spam, or content that is harmful, abusive, defamatory, or that harasses or discriminates.
Attempt to gain unauthorized access to the Service, other accounts, or our or any third-party systems or data.
Reverse engineer, decompile, or attempt to extract source code of the Service (except as permitted by law).
Resell or sublicense the Service in a manner that competes with our offering, unless we agree in writing.
Use the Service in a way that could harm, overburden, or impair the Service or others' use of it.

We may suspend or terminate your access if we reasonably believe you have violated these Terms or applicable law, or if required by law.

3. Products and Your Data

The Service includes products such as Chat (AI chatbots), Testimonials (collection and display of testimonials), Analytics (website analytics), and Monitoring (mention and review monitoring). You are responsible for:

Lawful use and consent: Ensuring you have a lawful basis to collect, process, and store any end user or visitor data (e.g., chat conversations, lead data, testimonial submissions, analytics events). You must provide required notices and, where applicable, obtain consent (e.g., under GDPR, CCPA, or other privacy laws) before using our features that collect data from your end users.
Content: Any content you upload or that is submitted through your configuration (e.g., testimonials, chat messages) must not violate these Terms or third-party rights. We may remove content that we reasonably believe violates these Terms or the law.
AI and third-party use: Chat and certain features use third-party AI and other services. By using those features, you acknowledge that relevant data may be processed by those providers in accordance with our Privacy Policy and their policies. You must not use AI features with sensitive personal data (e.g., health, financial) unless you have ensured compliance with applicable law and our documentation.

4. Intellectual Property and License

We own or license the Service, including its design, code, and branding. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service in accordance with these Terms and your plan. You retain ownership of your content and data; you grant us the license necessary to operate the Service (e.g., to host, process, and display your content and to use it to provide support and improve the Service within the bounds of our Privacy Policy).

5. Payment and Subscription

Fees for paid plans are described on our pricing page and in your account. You agree to pay all fees when due. Payment is processed by Stripe; you agree to their terms where applicable. Fees are generally billed in advance (monthly or annually). Refunds are handled in accordance with our refund policy (e.g., we may offer a trial period during which you can cancel without charge; otherwise fees are typically non-refundable unless required by law). We may change fees with reasonable notice; continued use after the change constitutes acceptance.

6. Cancellation and Termination

You may cancel your subscription in accordance with the account or billing interface. We may suspend or terminate your account or access for breach of these Terms, non-payment, or for our convenience with notice where required. Upon termination, your right to use the Service ceases. We may retain and use your data as described in our Privacy Policy (e.g., for legal and operational purposes) unless you request deletion and we are not required to retain it.

7. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. AI OUTPUTS AND THIRD-PARTY INTEGRATIONS ARE NOT GUARANTEED TO BE ACCURATE OR COMPLETE; YOU USE THEM AT YOUR OWN RISK.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL CONVERSIONOS (OR ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS) BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE, WHETHER IN CONTRACT, TORT, OR OTHERWISE. OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM (OR ONE HUNDRED U.S. DOLLARS IF GREATER). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS; IN SUCH CASES OUR LIABILITY IS LIMITED TO THE MAXIMUM PERMITTED BY LAW.

9. Indemnity

You agree to indemnify and hold harmless ConversionOS and its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to (a) your use of the Service, (b) your content or data, (c) your violation of these Terms or applicable law, or (d) any dispute between you and an end user or third party relating to data collected or processed through the Service.

10. Disputes and Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any dispute arising out of or related to these Terms or the Service shall be resolved exclusively in the courts located in Wilmington, Delaware, and you consent to personal jurisdiction there. You waive any right to a jury trial or to participate in a class action. If you are a consumer in the EEA or UK, you may have mandatory rights under your local law that cannot be waived.

11. General

These Terms, together with our Privacy Policy and any order or plan-specific terms, constitute the entire agreement between you and ConversionOS regarding the Service. Our failure to enforce any right does not waive that right. If any provision is held invalid, the remaining provisions remain in effect. We may assign these Terms; you may not assign without our prior written consent.

12. Changes

We may modify these Terms from time to time. We will post the updated Terms on this page and update the "Last updated" date. For material changes, we may notify you by email or through the Service. Your continued use after the effective date constitutes acceptance. If you do not agree, you must stop using the Service and may cancel your account.
